Ownership, licensing, and permitted use of project-specific deliverables, including website designs, code, content, graphics, reports, and advertising materials, will be determined by the applicable written agreement.
Where ownership or transfer depends on payment, the applicable agreement will specify the relevant conditions.
Clients must not reproduce, resell, distribute, or commercially exploit Digronix’s proprietary materials without appropriate authorization.
Clients are responsible for ensuring that materials they provide do not infringe third-party intellectual property rights.

Digronix may suspend or terminate services where permitted by the agreement and applicable law, including in cases of material breach, unlawful activity, misuse of services, or persistent non-payment.
Where appropriate, we may provide notice and an opportunity to resolve the issue before suspension or termination.

Any non-refundable fees or advance payments must be clearly agreed upon and must comply with applicable law.
Digronix may suspend or terminate services for material breaches or non-payment in accordance with these terms and the applicable agreement.
Nothing in this section removes any refund, cancellation, or other right that cannot lawfully be excluded.
18. Confidentiality
Each party may receive confidential business, technical, financial, or project information while working together.
Both parties should use reasonable care to protect confidential information and use it only for the purposes for which it was provided.
Confidential information may be disclosed where required by law or to professional advisers and service providers who reasonably need the information and are subject to appropriate confidentiality obligations.
This section does not apply to information that is lawfully public, already known without a confidentiality restriction, independently developed, or lawfully received from another source.
Any more specific confidentiality obligations agreed in a separate contract will also apply.
